Welcome to Cat Morning Club! The terms "we", "us" and "our" refer to Yogashkola Ltd, trading as Cat Morning Club, a private limited company registered in England and Wales (company number 09028655) with its registered office at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ.
We operate this store and website, including all related information, content, features, tools, products and services, in order to give you, the customer, a curated shopping experience (the "Services"). Cat Morning Club is powered by Shopify, which enables us to provide the Services to you.
The terms and conditions below, together with any policies referenced in them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.
Please read these Terms carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms and by our Privacy Policy https://catmorningclub.com/policies/privacy-policy. If you do not agree to these Terms or the Privacy Policy, please do not use or access our Services.
Your legal rights: Nothing in these Terms affects any rights you have as a consumer under the mandatory consumer protection laws of the state where you live.
Section 1 - Access and Account
By agreeing to these Terms, you confirm that you are at least 18 years old (or the age of majority in the state where you live, if that is higher), and that you consent to any of your minor dependents using the Services on devices you own, purchase or manage.
To use the Services, including browsing our online store or purchasing any of our products, you may be asked to provide certain information, such as your email address and your billing, payment and shipping details. You confirm that all information you provide is correct, current and complete, and that you have the right to provide it.
You are responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign or license your account to anyone else.
Section 2 - Our Products
We have made every effort to represent our products accurately in our online store. However, colors and product appearance may look different on your screen depending on your device, settings and configuration.
Our products are made to order by third-party print and fulfilment partners, so small variations in print placement, color and fabric between items are normal. If a product arrives defective or not as described, please contact us and see our Refund Policy. Your legal rights are not affected.
Product descriptions, designs and availability may change at any time without notice. We may discontinue any product at any time and may limit the quantity of any product we offer to any person, region or jurisdiction, on a case-by-case basis.
Section 3 - Orders
When you place an order, you are making an offer to purchase. We may accept or decline your order for any reasonable cause, for example because of a pricing error, a stock or production issue, or suspected fraud. Your order is not accepted until we confirm acceptance by email, and we must receive and process your payment first.
Please check your order carefully before submitting it. Because our products are printed to order, we may not be able to cancel an order once production has started. If we decline, change or cancel an order, we will try to let you know using the email address, billing address or phone number you gave us when you ordered.
Returns, exchanges, refunds and your right to cancel are governed by our Refund Policy https://catmorningclub.com/policies/refund-policy.
You confirm that your purchases are for your own personal or household use and not for commercial resale or export.
Section 4 - Prices and Billing
Prices, discounts and promotions may change without notice. The price you pay is the price in effect when you place your order, as shown in your order confirmation email. Prices are shown in US dollars. Unless we say otherwise, displayed prices do not include sales tax, shipping or handling, and any that apply will be shown at checkout or explained in our shipping policy.
Prices in our online store may differ from prices offered elsewhere, including by third-party retailers. We may run promotions that are governed by separate terms. If a promotion's terms conflict with these Terms, the promotion's terms apply.
You agree to provide current, complete and accurate purchase, payment and account information for all purchases, and to promptly update your account details, including your email address and payment card details, so that we can complete your transactions and contact you when needed.
You confirm that (i) the payment card information you provide is true, correct and complete, (ii) you are authorized to use that card for the purchase, (iii) the charges will be honored by your card provider, and (iv) you will pay the charges at the posted prices, including shipping, handling and any applicable taxes.
Section 5 - Shipping and Delivery
At the moment we ship within the United States only. We are working on reaching more countries, and will update our shipping policy when that changes. Rates and delivery times are set out in our shipping policy https://catmorningclub.com/policies/shipping-policy.
Delivery times are estimates, not guarantees. We are not responsible for delays caused by carriers or other events outside our reasonable control, but we will do our best to help if something goes wrong with your order. Products stay at our risk until they are delivered to you, at which point risk and ownership pass to you.
Nothing in this section limits your legal rights if your order arrives late, damaged or not at all.
Section 6 - Intellectual Property
Our Services, including all trademarks, brands, text, displays, images, graphics, illustrations, cat characters, product reviews, video and audio, and the design, selection and arrangement of them, are owned by Yogashkola Ltd, its affiliates or its licensors and are protected by UK, US and international copyright, trademark and other intellectual property laws.
These Terms permit you to use the Services for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store or transmit any material on the Services without our prior written consent. Except as expressly set out here, nothing in these Terms gives you any license or other right under any patent, trademark, copyright or other intellectual property of Cat Morning Club, Yogashkola Ltd, Shopify or any third party. All rights not expressly granted are reserved.
The names Cat Morning Club and Yogashkola, and our logos, product names, designs and slogans, are trademarks of Yogashkola Ltd or its affiliates or licensors. You must not use them without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs and slogans on the Services belong to their respective owners.
Section 7 - Optional Tools
We may give you access to tools offered by third parties as part of the Services. We do not monitor or control these tools. They are provided "as is" and "as available", without any endorsement, and to the extent permitted by law we are not liable for anything arising from your use of them.
You should make sure you are familiar with, and approve of, the terms on which the relevant third-party provider offers each tool.
We may also offer new features through the Services in future, including new tools and resources. These new features will also be subject to these Terms.
Section 8 - Third-Party Links
The Services may contain materials and links to websites provided or operated by third parties, including embedded third-party functionality. We are not responsible for examining or evaluating the content or accuracy of third-party materials or websites. If you leave the Services to visit them, you do so at your own risk.
We are not liable for any harm or damage related to your use of third-party websites or your purchase or use of any products, services, resources or content on them. Please review the third party's policies and make sure you understand them before you engage in any transaction. Complaints, claims, concerns or questions about third-party products and services should be directed to the third party.
Section 9 - Relationship with Shopify
Cat Morning Club is powered by Shopify, which enables us to provide the Services. However, any sales and purchases you make in our store are made directly with Yogashkola Ltd. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and us, including any injury, damage or loss resulting from products you buy from us. To the extent permitted by law, you release Shopify and its affiliates from claims, damages and liabilities arising from your purchases and transactions with us.
Section 10 - Privacy
Yogashkola Ltd is the data controller for the personal information we collect through the Services. All of that information is handled in line with our Privacy Policy https://catmorningclub.com/policies/privacy-policy, and certain personal information may also be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these policies.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit will be shared with Shopify and with other third parties, such as payment processors and our print and fulfilment partners, who may be located in countries other than where you live, so that we can provide the Services to you. Please see our Privacy Policy for details of how we, Shopify and our partners use your personal information, and of your rights under applicable privacy law.
Section 11 - Feedback
If you submit, upload, post, email or otherwise send us any ideas, suggestions, feedback, reviews, proposals, plans or other content (together, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display that Feedback in any medium for any purpose, including commercial use, for example to operate, evaluate, improve and promote the Services. This does not affect any rights you have in your personal data under applicable privacy law.
You also confirm that: (i) you own, or have all necessary rights to, all Feedback; (ii) you have disclosed any compensation or incentives you received in connection with your Feedback; and (iii) your Feedback complies with these Terms. We are under no obligation to keep your Feedback confidential, to pay you for it, or to respond to it.
We may, but have no obligation to, monitor, edit or remove Feedback that we reasonably consider to be unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable, or that infringes anyone's intellectual property or breaches these Terms.
Your Feedback must not violate any third party's rights, including copyright, trademark, privacy or other personal or proprietary rights, and must not contain unlawful, abusive or obscene material, or any virus or other malware. You may not use a false email address, pretend to be someone else, or otherwise mislead us or others about where Feedback comes from. You are responsible for your Feedback and its accuracy. We take no responsibility and assume no liability for Feedback posted by you or any third party.
Section 12 - Errors, Inaccuracies and Omissions
Occasionally the Services may contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times and availability. We reserve the right to correct any such errors, inaccuracies or omissions, and to update information or cancel orders affected by them, including after you have submitted an order. If we cancel an order because of an error, we will refund any payment you have made for it.
Section 13 - Prohibited Uses
You may access and use the Services for lawful purposes only. You must not access or use the Services, directly or indirectly:
(a) for any unlawful or malicious purpose; (b) to violate any international, national, federal, state or local laws, rules, regulations or ordinances; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, insult, harm, defame, slander, disparage or intimidate any of our staff or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use or re-use any material that does not comply with these Terms; (g) to send, or arrange the sending of, any advertising or promotional material, including "junk mail", "chain letters", "spam" or similar solicitations; (h) to impersonate or attempt to impersonate any other person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or that we reasonably determine may harm Cat Morning Club, Yogashkola Ltd, Shopify or users of the Services, or expose them to liability.
In addition, you agree not to: (a) upload or transmit viruses or any other malicious code that may affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, sell, resell or exploit any part of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, pretext, spider, crawl or scrape; or (e) interfere with or circumvent the security features of the Services or any related website, other websites or the internet.
If we reasonably believe you have breached any part of these Terms, we may suspend, disable or terminate your account.
Section 14 - Termination
We may end this agreement or your access to the Services (or any part of them) if you seriously or repeatedly breach these Terms, or if we stop offering the Services. Where reasonably possible, we will give you notice first. Termination does not affect orders that have already been accepted, and you remain responsible for all amounts due up to the date of termination.
The following sections continue to apply after termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and any other provisions that by their nature should continue.
Section 15 - Disclaimer of Warranties
The information presented on or through the Services is provided for general information purposes only. We do not warrant its accuracy, completeness or usefulness, and any reliance you place on it is at your own risk. To the extent permitted by law, we disclaim liability arising from reliance on this information by you or any other visitor to the Services.
Except as expressly stated by us, and to the fullest extent permitted by law, the Services are provided "as is" and "as available". We do not guarantee that your use of the Services will be uninterrupted, timely, secure or error-free.
This section does not affect your rights as a consumer. Some states do not allow the exclusion of implied warranties, so parts of this section may not apply to you.
Section 16 - Limitation of Liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited by law.
Subject to that, and to the fullest extent permitted by law, Yogashkola Ltd (trading as Cat Morning Club), our directors, officers, employees, affiliates, agents, contractors, service providers and licensors, and Shopify and its affiliates, are not liable for any loss or damage that was not reasonably foreseeable, or for any indirect or consequential loss, including lost profits, revenue, savings or data, arising from your use of the Services or any products bought through them, whether in contract, tort (including negligence), strict liability or otherwise.
Some states do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you, and it does not limit any rights you have under the consumer protection laws of your state.
Section 17 - Indemnification
If you breach these Terms or violate any law or the rights of a third party, and that causes us loss, you agree to compensate us for the reasonable losses, liabilities and costs (including reasonable legal fees) that result directly from your breach or violation. This section does not apply to the extent it would be unfair or unlawful to apply it to a consumer.
We will tell you about any claim we think is covered by this section, although a delay will not release you from your obligations unless it materially harms you. We may control the defence and settlement of the claim at your expense, but will not settle a claim that requires you to take on non-monetary obligations without your consent (not to be unreasonably withheld). You agree to cooperate in the defence of the claim, including by providing relevant documents.
Section 18 - Severability
If any provision of these Terms is found to be unlawful, void or unenforceable, it will be enforced to the fullest extent permitted by law, and the unenforceable part will be treated as separate from the rest of the Terms. This does not affect the validity or enforceability of the remaining provisions.
Section 19 - Waiver and Entire Agreement
If we do not exercise or enforce a right or provision in these Terms, that does not mean we have waived it.
These Terms, together with any policies or operating rules we post on this site in connection with the Services, are the entire agreement between you and us about your use of the Services. They replace any earlier or simultaneous agreements, communications and proposals, whether oral or written, including earlier versions of these Terms. Any ambiguity in these Terms will not be interpreted against the party that drafted them.
Section 20 - Assignment
You may not transfer or assign this agreement or any of your rights or obligations under it without our prior written consent, and any attempt to do so is void. We may transfer or assign these Terms and our rights and obligations under them, provided this does not reduce the protections you have under these Terms or the law.
Section 21 - Governing Law
These Terms, and any separate agreement under which we provide you with Services, are governed by the laws of England and Wales. If you are a consumer, you can bring a claim in the courts of England and Wales or, if you prefer, in the courts of the state where you live, and you keep the benefit of any mandatory consumer protection laws of that state. If you are not a consumer, the courts of England and Wales have exclusive jurisdiction.

The headings in this agreement are for convenience only and do not limit or otherwise affect these Terms.

We may update, change or replace any part of these Terms by posting the changes on our website. It is your responsibility to check our website from time to time. We will notify you of any material changes in line with applicable law, and changes take effect on the date given in the notice. Orders you have already placed remain subject to the Terms in force when you ordered. If you keep using the Services after changes are posted, you accept them.
